Changing Partners
Notifying a new general partner within fourteen days
Search help and information
A change of general partner must be notified to us promptly, because the general partners are the partners we hold and publish.
The fourteen day notification
On the appointment of a new general partner, the partners must notify us within fourteen days. This applies under section 5(1B) of the Limited Partnership Act 1883 and section 8 of the Exempted Partnerships Act 1992.
Overseas partnerships need the Minister's consent
For an overseas partnership operating on a permit, the Minister's consent is required to change any general partner, because the permit names them.

Changing the articles and particulars
Your certificate records the general partners, the registered office and, for an exempted partnership, the resident representative. A change to any of those is filed with us so that the certificate on the register continues to match the partnership.
Changes to your limited partners are recorded in the register of limited partners you keep at your registered office, not filed with us.

Effect on beneficial ownership filings
A change of partner will often be a change of beneficial owner as well, because a partner holding twenty-five per cent or more of the partnership interests is a beneficial owner, and a general partner who manages the business may be one through control. Update your beneficial ownership register and file the change with us.
