Entity Registration

How to Register an Entity and the prerequisites that apply to each type

In the Bermuda Registrar of Companies (RoC) online registry system (Catalyst), registering an entity (such as a Company, Limited Liability Company, Exempted Partnership, or Incorporated Segregated Account) follows a standardized statutory process:

Before You Register

1. Prerequisites

  1. User Account & Authority: You must be a registered, logged-in user with appropriate authority (such as a Corporate Service Provider (CSP) or authorized representative)
  2. Name Reservation: You must hold an active Reserved Name with the reason set to (A new entity) matching the proposed entity type before initiating the application
  3. Regulatory Consents: For entities requiring Bermuda Monetary Authority (BMA) or Ministerial consent (such as exempted entities or restricted sectors), consent documentation must be obtained or ready for submission

2. Registration Workflow & Form Details

From the online portal menu, select the appropriate registration service (e.g., Register a Company, Register an Exempted Partnership, or Register an LLC) and complete the structured tabs:

  1. General Details: Select the approved reserved name, secondary name (if applicable), business activity/sector classification, and duration/entity structure
  2. Address Details: Enter the registered office address and physical address in Bermuda
  3. Officers, Directors & Partners / Subscribers: Provide the names, addresses, and details of the initial subscribers, directors, resident representatives, or general partners
  4. Capital / Shareholdings (where applicable): Specify authorized share capital, currency, nominal value, and classes of shares
  5. Beneficial Ownership (BO): Record the ultimate beneficial owners (individuals holding 25%+ ownership/control or exercising ultimate control) within the integrated BO capture tab
  6. Declarations & Document Uploads: Attach required statutory documentation (e.g., Memorandum of Association, Bye-laws, BMA consent, or licensing documentation) and complete the statutory declaration

3. Review, Fee Payment & Submission

  1. Review: Inspect the compiled entity information on the summary screen
  2. Payment: Pay the prescribed statutory incorporation/registration fees electronically
  3. Submission: Submit the filing to the Registrar of Companies for formal review

4. Approval and Certificate Issuance

Once the RoC compliance and registration teams verify and approve the application, notification is sent to the applicant and the official Certificate of Incorporation / Registration and register extracts are generated
